Terms of Service

Welcome to Chargix! These Terms of Service govern your use of our application and services. By registering for the service, you agree to these terms.

1. Service Description

Chargix is a peer-to-peer EV charging platform. The application connects electric vehicle drivers ("Drivers") with private charging station owners ("Hosts").

Additionally, the service enables managing charging requests at public stations.

Electricity Bank Model

The service operates on an "Electricity Bank" system - an exchange of electricity units (kWh):

In case of disagreement about the kWh amount:

  1. The Driver reports the amount consumed
  2. The Host confirms or disputes with justification
  3. If the Host disputes - the Driver can respond

Important: Chargix's decision in disputes is final. We use the parties' history and submitted evidence.

Each user receives a trust score based on their activity history. A low trust score may lead to account restrictions.

Chargix will not be liable for damages resulting from unauthorized access to your account due to failure to maintain login credential security.

11. Limitation of Liability and Disclaimers

In no event shall Chargix, its directors, employees, or partners be liable for indirect, special, consequential, punitive, or incidental damages, including loss of profits, data, reputation, or business opportunities, even if we have been advised of the possibility of such damages.

Chargix's maximum liability in any case shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim. Refunds will be made in the same payment method (kWh credits and/or money). If no payment was made during this period, the maximum liability shall be a credit of up to 500 kWh to your Electricity Bank wallet.

12. Intellectual Property and Copyright

12.1 Ownership

Chargix and all its components, including but not limited to: source code, algorithms, designs, logo, trademarks, texts, graphics, user interfaces, methods of operation, Electricity Bank system, Trust Score system, booking system, verification methods, and station identification algorithms - are the exclusive property of Chargix and are protected by copyright and international intellectual property laws.

If you encounter a violation of our intellectual property rights, please report it to us immediately. We reserve the right to take all legal measures.

Violation of this section shall constitute a material breach of the Terms of Service, and shall entitle Chargix to all legal remedies, including injunctions, damages, and attorney's fees.

13. Changes to Terms

We may update these terms from time to time.

Continued use of the service after the notice period constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using the service and delete your account.

14. End User License Agreement (EULA)

14.1 License Grant

Chargix grants you a limited, non-exclusive, non-transferable, and revocable license to use the application for personal, non-commercial purposes only.

We may terminate this license at any time if you violate the Terms of Service. Upon termination, you must immediately stop using the application and delete it from all your devices.

15. Geographic Availability

The service is currently available in the following countries: Israel, United States, and Canada. We may expand the service to additional countries in the future. Availability in each country is subject to local laws and existing charging station data.

16. Governing Law and Jurisdiction

16.1 Governing Law

These terms are governed by the laws of the State of Israel, without regard to conflict of law principles.

16.2 Jurisdiction by Location

For users in Israel: Exclusive jurisdiction is granted to the courts in the Tel Aviv district.

For users in the US and Canada: Any dispute shall be resolved through binding arbitration in accordance with AAA (American Arbitration Association) rules, except where local law prohibits this.

For users in the European Union: Your rights under local consumer protection laws are fully preserved.

16.3 Arbitration Opt-Out Right

For users in the US and Canada: You have the right to opt out of the arbitration clause within 30 days of your first registration for the service.

To opt out, send a written notice including your full name, registered email address, and phone number, with a clear statement that you wish to opt out of the arbitration clause.

If you choose to opt out of the arbitration clause, all other terms of service will continue to apply to you, and disputes will be resolved in the competent courts.

17. Class Action Waiver

You agree to bring claims against Chargix only on an individual basis, and not as part of a class or collective action, to the extent permitted by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Chargix, its affiliates, directors, employees, agents, and partners, from any claim, damage, loss, liability, cost, or expense (including reasonable attorney's fees) arising from:

19. Force Majeure

Chargix shall not be liable for any delay or failure to perform its obligations resulting from circumstances beyond its reasonable control, including but not limited to:

In the event of force majeure, Chargix will make reasonable efforts to resume the service as soon as possible.

20. General Provisions

20.1 Severability

If any provision of these terms is found to be illegal, void, or unenforceable, the remaining provisions shall remain in full force and effect. The problematic provision shall be interpreted or amended in a manner that reflects the parties' intent to the maximum extent permitted by law.

20.2 Entire Agreement

These Terms of Service, together with the Privacy Policy and any other document referenced herein, constitute the entire and exclusive agreement between you and Chargix regarding the service, and supersede all prior understandings, agreements, or representations, written or oral.

20.3 No Waiver

Failure to enforce any right or provision of these terms by Chargix shall not constitute a waiver of such right or provision. Any waiver shall be valid only if in writing and signed by an authorized representative of Chargix.

20.4 Assignment

You may not transfer or assign your rights or obligations under these terms without the prior written consent of Chargix. Chargix may transfer its rights and obligations without limitation, including as part of a merger, acquisition, or asset sale.

20.5 Headings

The headings in these terms are for convenience only and do not affect the interpretation of the terms.

By registering for the service, you agree to receive electronic communications from us, including:

22. Third-Party Services and Providers

We use third-party service providers to operate the service (hosting, security, maps, and more). For the full list of service providers and the type of information they receive, see our Privacy Policy.

Use of third-party services is subject to those providers' terms of service and privacy policies. Chargix is not responsible for the actions, content, or policies of these providers.

22.2 Links to External Applications

The service may include links to external charging applications (such as ChargePoint, EVgo, Afcon, and others). These links are provided for your convenience only.

Chargix is not responsible for the content, privacy policies, or actions of external applications and services. Use of them is subject to their terms, and we recommend reviewing them before use.

22.3 Station Information Sources

Information about public charging stations comes from third-party sources (Ministry of Energy, Open Charge Map, AFDC, user reports). We do not guarantee the accuracy, currency, or availability of information from these sources.
